Terms of Service

Last updated:

These terms govern your use of SignaPass, a digital loyalty service operated by [LEGAL ENTITY NAME] ("SignaPass", "we", "us"). By using SignaPass, as a business, a member of a business's staff, or a customer, you agree to them. If you do not agree, please do not use SignaPass.

1. The service

SignaPass lets businesses ("merchants") replace paper loyalty cards with digital ones. Staff record stamps or points at the counter, customers keep their cards on their phone, and merchants can see and contact their regular customers. Features depend on the merchant's plan, and we may add, change or remove features over time.

2. Customer accounts

You sign in with your phone number and a one-time code sent to it by SMS. Anyone who has your phone can sign in to your cards, so keep it secure. Give accurate information, and use only a phone number that is yours. Our Privacy Policy explains how we handle your information.

3. Stamps, points and rewards

  • Stamps, points and rewards are loyalty benefits offered by each merchant. They have no cash value.
  • They cannot be bought, sold, exchanged for cash, or transferred to another person or account.
  • A reward is always confirmed in person by the merchant's staff. You cannot redeem a reward yourself, and the balance the merchant's system shows at the time of redemption is the one that counts.
  • Balances may expire according to the merchant's programme rules, which are shown on your card. You will be warned before points expire.
  • A merchant may change its programme. A change applies to new cards and to your next cycle, while the card you already hold continues on the rules you joined under until you complete it.
  • A merchant may correct a stamp or point recorded by mistake. Corrections are recorded, never silently erased.

4. Each merchant is responsible for its own programme

The merchant, not SignaPass, decides what its programme offers and is responsible for honouring its rewards, for the goods and services it sells, and for complying with the consumer and marketing laws that apply to it. SignaPass is not a party to any purchase between you and a merchant. If a merchant stops using SignaPass or closes, its rewards may no longer be available, and any claim about them is with that merchant.

5. Additional terms for merchants

  • Keep your account details accurate and your password private. You are responsible for what happens under your account, including the actions of the staff you add and the PINs they use.
  • Only send marketing to customers who have agreed to receive it, and respect every opt-out.
  • Use your customers' information only to run your relationship with them, in line with the privacy laws that apply to you. Do not sell it or share it with others.
  • Fees are set by your plan and invoiced each billing cycle. If an invoice stays unpaid, we may restrict your account until it is settled. Your customers' existing balances are never deleted as a result.
  • You may close your account at any time. It can be recovered for 30 days; after that it is deleted, and we provide an export of your data first.
  • You keep the rights to your brand name, logo and content, and you allow us to use them to provide the service to you and your customers.

6. Acceptable use

You must not:

  • Record stamps, points or rewards that were not earned, or otherwise defraud a merchant or its customers.
  • Send spam or messages to people who have not agreed to receive them.
  • Try to access another business's data or another person's account.
  • Interfere with, overload, copy or reverse-engineer the service.
  • Use SignaPass for anything unlawful.

We may suspend or close an account that breaks these rules.

7. Text messages

We send sign-in codes and messages about your cards by SMS. Merchants may send you offers only if you have agreed, and you can stop them at any time by contacting us. Your mobile operator's standard charges may apply.

8. Our software

SignaPass, including its software, design and name, belongs to [LEGAL ENTITY NAME]. These terms give you the right to use it as intended, and nothing more.

9. Availability

We work hard to keep SignaPass running, and the staff app is built to keep recording stamps when the internet drops. Even so, we cannot promise that the service will always be available or free of errors, and it is provided "as is".

10. Limitation of liability

To the extent the law allows, SignaPass is not liable for indirect or consequential losses, lost profits or lost data, or for a merchant's failure to honour a reward. For merchants, our total liability in any 12-month period is limited to the fees you paid us in that period. Nothing in these terms limits liability that cannot be limited by law, or takes away rights you have as a consumer.

11. Ending your use

You can stop using SignaPass at any time. Customers can delete their account from the profile screen of their card. We may suspend or end access if these terms are broken or if we stop offering the service, and in that case we will give merchants reasonable notice where we can.

12. Changes to these terms

We may update these terms. We will change the date at the top of this page, and tell merchants in advance of any significant change. If you keep using SignaPass after a change takes effect, the new terms apply.

13. Governing law

These terms are governed by the laws of [GOVERNING LAW JURISDICTION], and the courts of [GOVERNING LAW JURISDICTION] will hear any dispute, unless the law where you live gives you the right to bring a claim there.
